 12. Governing Law and Dispute Resolution

These Terms of Use and all matters relating thereto shall be governed by, and interpreted in accordance with, the laws of Manitoba, Canada, excluding any rules of private international law or the conflict of laws which would lead to the application of any other laws.  You agree that any action at law or in equity arising from or relating to the use of this Website or to these Terms of Use shall be brought exclusively in the courts of the Province of Manitoba sitting in the City of Winnipeg.  You hereby consent and submit to jurisdiction in and of such courts for the purposes of any action relating to this Website, your access or use thereof, or these Terms of Use, and to extra-territorial service of process.

13. Severability

 If any provision of these Terms of Use is held to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then the invalid or unenforceable provision shall be replaced by a valid, enforceable provision that most closely matches the intent of the original provision, and the validity and enforceability of any remaining provisions shall not be affected.

 14. No Waiver                                                   

 The failure of Maruca to enforce any part of these Terms of Use shall not constitute a waiver of such term or provision, and shall not be considered a waiver or limit Maruca’s right thereafter to insist upon strict adherence to that term or any other provision of these Terms of Use.

15. Authority

You hereby represent, warrant and confirm to Maruca that you have all necessary power and authority to agree to these Terms of Use.

These Terms of Use and any documents or materials incorporated by reference herein constitute the entire agreement between you and Maruca with respect to the subject matter hereof.  There are no representations or warranties between the parties except as expressly set out herein.  All notices to be provided to users generally under these Terms of Use will be featured on the Website; if you have set up an account and have provided us with an email address, we may communicate with you through that email address and provided notice by email in our discretion.  Users are responsible to ensure that their current email is on file with Maruca.  These Terms of Use may not be assigned by a user without the prior written consent of Maruca.
